David joined the Gornitzky law firm as an attorney in 2021.David advises leading public and private companies in the Israeli market in the areas of corporate law and corporate governance, capital markets and securities, regulation and the like. In this context, David provides ongoing advice to companies, office holders, boards of directors and their committees, including in related-party transactions (with an emphasis on advising independent committees), compensation policies, financings and offerings, public reporting and providing legal opinions. In addition, David represents clients in mergers and acquisitions (M&A) transactions and financing transactions with banking and institutional corporations.
Notable Matters:
• Representation of the independent committee of the insurance company “Ayalon”, in a transaction completed for the acquisition of the digital insurance company WeSure Insurance by Ayalon by way of a share exchange, at a valuation of more than NIS 130 million.
• Representation of the independent committee of Tamar Royalties Energy Ltd., in a transaction completed for the acquisition of an overriding royalty for a total amount of approximately USD 25 million arising from the “Tamar” gas reservoir.
• Advising Dan Public Transportation Group, in a strategic restructuring process, as part of which the real estate and water infrastructure activities were separated from the transportation activities.
• Representation of an institutional entity in a transaction for the transfer of a portfolio comprising 18 different loans (project finance transactions, mortgage acquisitions, public transportation and more) with an aggregate volume of billions of NIS.
• Representation of the independent committee of Magic Software Enterprises, a dual-listed company traded on NASDAQ and the Tel Aviv Stock Exchange, in a merger transaction with Matrix IT Systems, pursuant to which Matrix acquired all of the share capital of Magic through a reverse triangular merger, upon completion of which the merged company became one of the largest IT services companies in Israel and worldwide, with an aggregate value of more than NIS 10 billion.
• Advising O.D.I Transportation Fund and the general partner, in a precedent-setting MBO transaction in Israel’s public transportation industry, pursuant to which the acquisition of control of Dan Public Transportation Company was completed, at a company valuation of NIS 2.8 billion.
• Representation of Barak Capital Underwriting in a completed merger transaction with the underwriting company of Leumi Partners, the investment arm of Bank Leumi, pursuant to which the underwriting activities of the two groups were merged and a joint underwriting company, one of the largest and leading in Israel, was established.
• Representation of the Jerusalem Public Transportation bus company, in a transaction completed for the merger of all the activities of the Har HaZeitim bus company, such that following the merger, Jerusalem Public Transportation operates all of the public transportation activities of the merged companies in East Jerusalem.
Prior to joining the firm, David served for 7 years in the International Law Department of the Military Advocate General’s Corps.
As part of his military service, David provided legal advice to senior security officials and government ministries, and gained experience in the fields of public international law and international criminal law. During his service, David was selected as an outstanding officer by the Military Advocate General.
