Our firm represented Formula Systems (1985) Ltd. in connection with the sale of its subsidiary, Sapiens International Corporation N.V., to the private equity fund Advent. As part of the transaction, Formula will continue to hold minority shareholder rights in Sapiens through a rollover agreement. Our representation focused on Formula’s engagement with Advent regarding their joint holding in Sapiens following the completion of the merger. Upon completion of the merger, Sapiens, currently traded on NASDAQ and the Tel Aviv Stock Exchange, will become a privately held company controlled by Advent.
