Our firm represents Shikun & Binui Energy Ltd. in a reverse triangular merger transaction for the sale of the entire issued share capital of Shikun & Binui Energy to Generation Capital. The transaction was signed at a valuation of approximately NIS 4.5 billion and is expected to generate cash flow of approximately NIS 3 billion in cash (after tax) for Shikun & Binui Energy.
As part of our handling of the transaction, our firm advised on structuring the deal and conducting the negotiations, which included, among other things, complex indemnification arrangements, and continues to accompany the transaction during the interim period until the fulfillment of all conditions precedent.
